2. Detailed Description of the Inside Information
2.1 Investment Structure
The investment by the Azimut Group was executed through a dedicated Luxembourg-based vehicle. This structure enabled clients managed by the Azimut Group’s network of financial advisors and wealth managers in Italy to participate in this investment opportunity in the digital financial assets sector.
2.2 Use of Proceeds
The capital raised through this share premium increase will be used to support the Group’s growth and expansion plan, with a specific focus on:
- Accelerating the deployment of an integrated platform – Young Platform S.p.A. – which consolidates crypto-asset services, payment services, and digital accounts within a single ecosystem.
- Strengthening the infrastructure of Fleap S.p.A. (the group company dedicated to tokenising financial instruments) and consolidating its commercial offering across the Italian and European markets.
2.3 Corporate Context of Young Group
The closing of this transaction marks a significant milestone in the evolution of the Group’s corporate structure. In the preceding months, the incorporation of the holding company Young Group S.p.A. was completed. This holding company now unites under a single structure:

- This authorisation allows Young Platform to offer eight out of ten regulated services governed by MiCAR for crypto-assets (excluding only the operation of a trading platform and the reception and transmission of orders on behalf of third parties).
- This regulatory licence enables cross-border operations within the European Union through the EU passporting regime, building on activities already established in the French market.
2.5 Post-Transaction Governance
Following this transaction, the share capital of Young Group S.p.A. includes Azimut and an additional co-investor alongside the six original founders, who fully retain strategic and managerial leadership of the Group. The transaction also introduces certain changes to the Group’s administrative organs, in line with the entry of the new institutional investor.
