Preamble

Dear User, by accepting these Terms and Conditions, you declare that:

• you are aware that this contract (hereinafter the “Terms and Conditions“) sets out the terms and conditions governing Users’ participation in the exclusive benefits associated with the various types of Young Platform Club (hereinafter the “Club” or “Clubs“);
• you are aware that these services relate exclusively to the domain youngplatform.com (hereinafter the “Website“), to which the mobile platform of the same name is linked (the Website and the platform referred to collectively as the “Platforms“);
• you are aware that these Terms and Conditions relate exclusively to the Club service and are in no way applicable to any other services available on the Platforms and, in this respect, for anything not expressly provided for in this document, and for the definitions used herein, please refer to the documentation available at the following link: youngplatform.com/legal/terms-conditions-young-platform/;
• you are aware that selecting the button used to join a Club (identified by the words “Join the Club“), constitutes contractual acceptance of this document;
• you have read and accept, without reservation, all the provisions and clauses set out in this document, reported in full below.

Registering for the Club

All Users who have duly completed the Registration process on the Platform may take part in the initiative, provided that they also meet the requirements set out in more detail below.

In order to join a Club, it will be necessary to proceed as follows:

2.1. have duly completed the Registration process on the Platform, including the related identity verification checks;

2.2 hold a certain number of YNG Tokens in their wallet, provided that these are not already committed to other types of activity (by way of example but not limited to: in the case of the purchase of YNG Tokens during the pre-sale, which is subject to a predetermined lock-up period);

2.3 lock a minimum number of YNG Tokens in their Wallet for at least 90 (ninety) calendar days (the “Lock-up Period“). At the end of the Lock-up Period, the User may independently decide whether to:

• keep their YNG Tokens locked, continuing to benefit from the advantages associated with the Club they have chosen to join. In this case, the User will remain a member of the Club for as long as they do not decide to manually unlock the YNG Tokens;

• manually unlock their YNG Tokens in order to leave the Club (in which case, the tokens are credited back to the Wallet instantly). It is understood that, should the User still be benefiting from certain advantages associated with participation in the Club, they must first close such benefits in advance and/or wait for them to expire before being able to leave the Club and, therefore, have their YNG Tokens unlocked. It is understood that, in the event of early termination of a plan providing for reserved benefits, any accrued but not yet matured benefits will be forfeited, unless otherwise provided.

Dynamic pricing for Club entry

The price for joining the Clubs is dynamic and may vary over time. This is because the price is calculated on the basis of the market value of the YNG Token, which is subject to fluctuation. This choice is made entirely in the interest of Users, as it ensures that the entry price for the Clubs always reflects the current value of the YNG Token. In this way, Users can be sure that they are joining the Clubs at a fair and transparent price.

Further clarifications:

• the price for joining a Club will always be clearly indicated to the user before registration;
• Young Platform reserves the right to change the Club entry price at any time, giving Users reasonable notice thereof;
• changes to the entry price will not apply to members already registered with a Club, who will also retain the benefits already acquired, unless they decide to leave the Club and subsequently register again.

Please note that the value of the YNG Token may vary, even significantly, and is in no way guaranteed. YNG Tokens are not covered by any deposit guarantee scheme or investor compensation scheme provided for under applicable law. Past performance of the YNG Token is not a guarantee of future results.

The information contained in this document does not constitute and should not be construed as investment advice, an invitation to purchase or a financial promotion, nor as a recommendation to hold, purchase or dispose of the YNG Token. In particular, with effect from 4 February 2025, a monthly Club rebalancing system has been implemented. The entry price in YNG Tokens will be updated monthly on the basis of the market value of the Token itself.

Club

Details of and the benefits associated with membership of each individual Club are published at youngplatform.com/token-yng/clubs/, noting that, in order to benefit from these advantages, in addition to holding YNG Tokens, it will be necessary to comply with the above (with particular reference to the Lock-up Period and the effects of early unlocking).

Club Upgrade

Any User registered with a Club may upgrade to another Club (“Club Upgrade“) at any time.

In order to carry out a Club Upgrade, it will be necessary to proceed as follows:

• in the case of locked YNG Tokens, increase the quantity of locked YNG Tokens up to the number required for the desired new Club;
• in the case of an active subscription plan, pay the higher monthly amount required for the desired new Club.

Limitations and scope of application

It is not possible to take part in more than one Club at the same time; therefore, each User may take part in only one Club at a time. Should a User decide to take part in a Club other than the one in which they currently find themselves, they will lose the benefits associated with it and will be granted exclusively those relating to the new Club they decide to join. It is understood that open stakes from the lower tier will nonetheless remain active, save where interrupted.

Downgrading, i.e. moving down to a lower Club, is not permitted under any circumstances; conversely, it is possible to carry out an “upgrade”, i.e. to access a higher Club (always subject to compliance with the requirements associated with it). In this case, the Lock-up Period will begin to run again from the date on which the User upgrades their Club.

The benefits associated with participation in one of the Clubs apply prospectively only and are never retroactive. In this regard, it should be noted that, should any functionalities and/or plans already be active prior to actual registration with one of the Clubs (hereinafter “Prior Activities“), the benefits associated with the Club will not apply to such Prior Activities; rather, the benefits will apply to activities commenced after entry into the relevant Club.

Should a User already be benefiting from discounts/benefits (independent of participation in any Club) which overlap with those granted by taking part in a Club, the greater of the discounts/benefits will apply, but it will never be possible to combine the discounts/benefits.

The discounts/benefits reserved for Users who correctly register for one of the Clubs will also be valid and usable on the Young Platform Pro platform, save where the functionality to which such benefits relate is available exclusively on the basic Young Platform platform.

Automatic access to the Bronze Club

Users who reach the maximum level on the Young Platform Step application, the link to whose General Terms and Conditions – Young Platform Step is set out below, will be granted automatic access to the Bronze Club without having to lock YNG Tokens as normally required. This access will be granted for a period of 2 months from the date on which each User reaches the maximum level, unless otherwise indicated by Young Platform.

Young Platform reserves the right to change the duration of this initiative at any time and without notice. Furthermore, allocation of the Club may take up to 10 working days from the date the maximum level is reached.

At the end of this period, access to the Bronze Club will be revoked, with no need for any YNG Tokens to be credited to the User, since, as mentioned, no locking of YNG Tokens is required from the outset.

Please note that this provision applies only to Users who are not yet registered with any other Club. Should a User wish to move to a higher YNG Club, they will necessarily have to lock the entire quantity of YNG Tokens required for the higher Club, as provided for in these Terms and Conditions.

By accepting these Terms and Conditions, Users confirm that they understand and accept this additional provision relating to automatic access to the Bronze Club for Users who reach the maximum level of Young Platform Step.

Furthermore, it should be noted that Young Platform reserves the right to offer similar initiatives for other Clubs without the need to lock YNG Tokens and with the possibility of changes to the access conditions and duration.

Changes and updates

The requirements and the number of YNG Tokens required to take part in the aforementioned Clubs may be subject to variations and/or changes made unilaterally by Young Platform. In such case, Young Platform will inform its Users with reasonable notice, in the manner set out in the general terms and conditions of service signed by the User upon Registration.

Young Platform also reserves the right to unilaterally modify, at any time, the advantages and benefits associated with each Club, including – by way of example but not limited to – the mark-up percentages, the conditions of use and the methods of access thereto. In this case too, Young Platform will inform Users thereof with reasonable notice, in the manner provided for in the general terms and conditions of service signed by the User upon Registration.
